PICKFACTS LLC
Terms of Service
Effective September 13, 2026
1. Agreement to These Terms
These Terms of Service (“Terms”) govern your purchase and use of services provided by PICKFACTS LLC (“PICKFACTS,” “we,” “us,” or “our”). By purchasing a service, submitting project materials for a paid review, or otherwise agreeing to these Terms, you confirm that you have read and accepted them. If you do not agree, do not purchase or use the service.
2. What PICKFACTS Provides
PICKFACTS provides an independent review of construction and renovation project information to help owners understand issues and questions before making a commitment. Depending on the service purchased and information available, a review may consider contractor proposals, scope, plans, specifications, estimates, allowances, exclusions, commercial terms, change-order exposure, contractor information, and available property or permit information.
The exact scope may vary based on the service purchased, project complexity, documents supplied, and availability and reliability of third-party information. Projects over $2 million, unusually complex projects, or projects requiring a different level of review may be subject to a separate written scope and fee.
3. What PICKFACTS Does Not Provide
Unless separately stated in a written agreement signed by PICKFACTS and performed by an appropriately licensed professional, PICKFACTS does not provide architectural, engineering, surveying, legal, accounting, tax, appraisal, home-inspection, code-compliance, environmental, insurance, or licensed contractor services. A PICKFACTS review is not a certification that a proposal, contractor, price, design, property, permit status, or project complies with law, code, industry standards, or your contract requirements.
PICKFACTS does not guarantee savings, contractor performance, final project cost, schedule, workmanship, permit approval, financing, property value, or any particular project outcome.
4. Your Responsibilities
You are responsible for providing complete and accurate documents and information, identifying the project property and relevant contractors, reviewing the final report, asking appropriate follow-up questions, and making your own decisions. You should obtain advice from licensed architects, engineers, attorneys, accountants, inspectors, contractors, or other professionals when their expertise is appropriate.
You represent that you have the right to provide the documents and information you submit to PICKFACTS and authorize us to use them to perform the requested service.
5. Third-Party and Public Information
Contractor, property, permit, licensing, court, business, review, and other intelligence may come from public records, government sources, third-party databases, websites, or other sources outside PICKFACTS. Coverage varies by location and source. Records may be incomplete, delayed, inaccurate, unavailable, or associated with similarly named persons or businesses. PICKFACTS may summarize or flag such information but does not warrant its completeness or accuracy. You should independently verify information that is material to your decision.
6. Fees and Payment
Fixed-price Project Reviews are priced by the estimated total project value represented at checkout. You agree to provide a good-faith estimate of total project value and to pay the price shown before work begins. If the project falls outside the selected tier, is materially more complex than reasonably expected, or requires work outside the stated service, PICKFACTS may contact you before proceeding to discuss an adjusted scope or fee. We will not charge an additional fee without your agreement.
Custom projects are priced separately. Any written custom proposal or engagement terms will supplement these Terms and will control if there is a direct conflict concerning that custom engagement.
7. Cancellations and Refunds
You may request cancellation before PICKFACTS begins substantive review work for a full refund. Once substantive review work has begun, fees are generally non-refundable because the service involves professional time and analysis that cannot be returned. If PICKFACTS determines that it cannot reasonably perform the purchased review, we may cancel the engagement and refund all or an appropriate portion of the fee. Nothing in this section limits any non-waivable rights you may have under applicable law.
8. Timing and Delivery
Any stated turnaround time is an estimate unless PICKFACTS expressly agrees in writing to a firm deadline. Timing may depend on receiving complete documents, clarifications, third-party information, or other materials. Reports and communications are delivered electronically unless otherwise agreed.
9. Use of the Report
Your PICKFACTS report is prepared for the customer who purchased the review for that customer’s decision-making concerning the identified project. You may share it with your contractor and professional advisers for that project. You may not resell, publish, commercially redistribute, or represent the report as a certification, professional design opinion, legal opinion, code approval, or guarantee.
10. Intellectual Property
You retain ownership of materials you submit. PICKFACTS retains ownership of its review methods, templates, formats, checklists, scoring systems, report structure, branding, and other pre-existing intellectual property. Upon full payment, you receive a non-exclusive right to use the delivered report for the project and purposes described above.
11. Privacy and Project Materials
Our handling of personal information is described in our Privacy Policy. We use project materials to provide, administer, support, secure, and improve the service as permitted by that policy and applicable law. Do not submit sensitive personal information that is not reasonably necessary for the review.
12. Disclaimer of Warranties
To the extent permitted by law, PICKFACTS services and reports are provided on an “as is” and “as available” basis. We do not warrant that every issue, omission, risk, cost, public record, contractor concern, or project condition will be identified. The service is intended to improve the information available for your decision; it does not eliminate construction, contracting, financial, or property risk.
13. Limitation of Liability
To the extent permitted by applicable law, PICKFACTS will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost opportunities, construction delays, cost overruns, contractor defaults, or diminution in property value arising from or related to the service. To the extent permitted by law, PICKFACTS’s aggregate liability arising from a particular paid review will not exceed the fees you paid PICKFACTS for that review. These limitations do not apply where liability cannot lawfully be limited or excluded, including where applicable for gross negligence or willful misconduct.
14. Governing Law
These Terms are governed by the laws of the State of Connecticut, without regard to conflict-of-law principles, except to the extent applicable consumer-protection law requires otherwise. Subject to any non-waivable right to bring a claim elsewhere, disputes relating to these Terms or the services may be brought in a court of competent jurisdiction in Connecticut.
15. Changes to These Terms
We may update these Terms from time to time. The version posted when you purchase a service will govern that purchase unless you and PICKFACTS agree otherwise in writing. The effective date appears at the top of this page.
